These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and VirtuForms Ltd ("VirtuForms," "we," "our," or "us"), a company registered in the Republic of Trinidad and Tobago. By engaging our services, you agree to be bound by these Terms.

Please read these Terms carefully before using our services.

1. Services Provided

VirtuForms Ltd provides administrative and business support services including, but not limited to:

  • Business registration services (Limited Liability Companies, Sole Traders, Partnerships)
  • Government document processing (certificates, permits, licenses)
  • Travel document services (passport applications and renewals)
  • Personal tax and BIR services
  • Bank account assistance and related administrative support
  • Document delivery through our VirtuDrop subsidiary

The specific scope of services will be confirmed when you submit a service request.

2. Service Engagement and Acceptance

By submitting a service request through our website, email, phone, or in person, you are making an offer to engage our services. VirtuForms reserves the right to accept or decline any service request at our sole discretion.

A service engagement is formed when:

  1. We confirm acceptance of your service request in writing (email or written confirmation)
  2. You make the required deposit payment (where applicable)
  3. We commence work on your behalf

3. Payment Terms

Business Registration Packages (LLC, Sole Trader, Partnership):

  • 50% Deposit: A non-refundable deposit of fifty percent (50%) of the total service fee is required before we commence work
  • 50% Balance: The remaining fifty percent (50%) is due upon completion of the service
  • Payment methods accepted will be communicated upon service confirmation

Other Services:

  • Payment terms for government services, travel services, and personal services will be communicated at the time of service confirmation
  • Some services may require full payment upfront or alternative payment structures

Late Payment:

If final payment is not received within fourteen (14) days of service completion, VirtuForms reserves the right to:

  • Withhold delivery of completed documents
  • Charge interest at a rate of 2% per month on overdue amounts
  • Pursue legal action for recovery of outstanding fees

Payment Terms Summary

For Business Registration Services:

  • ✓ 50% deposit required to begin (non-refundable)
  • ✓ 50% balance due on completion
  • ✓ Work begins only after deposit is received

4. Refund and Cancellation Policy

Deposit Refunds:

  • The 50% deposit is non-refundable once work has commenced on your service request
  • In exceptional circumstances, refunds may be considered at the sole discretion of VirtuForms management
  • If you cancel before any work has commenced, a full deposit refund will be provided

Service Non-Completion by VirtuForms:

If VirtuForms is unable to complete the requested service due to our own limitations or errors (not due to client-provided information or government rejection), you will receive a refund calculated as follows:

  • Total fees paid minus the value of work already completed
  • A breakdown of completed work will be provided
  • Refunds will be processed within thirty (30) business days

Government Delays or Rejections:

  • VirtuForms is not responsible for delays or rejections by government agencies
  • No refunds will be issued for government processing delays or application rejections beyond our control
  • We will work with you to appeal rejections or correct errors as part of our service commitment

⚠️ Important: No Refund for False Documents

If you provide false, fraudulent, or inaccurate documents or information:

  • No refund will be issued under any circumstances
  • We will immediately cease processing your request
  • We reserve the right to report the matter to relevant authorities
  • You may be liable for any legal consequences arising from fraudulent submissions

5. Service Timelines

VirtuForms provides estimated timelines for service completion based on:

  • Average processing times for similar services
  • Typical government agency processing speeds
  • Our experience with similar applications

Important: Timelines are estimates only and are not guaranteed. Actual completion times may vary due to:

  • Government processing delays
  • Public holidays and agency closures
  • Missing or incomplete client documentation
  • Unforeseen complications or requirements
  • High volume periods at government agencies

VirtuForms is not liable for delays beyond our reasonable control. We will keep you informed of progress and any anticipated delays.

6. Client Responsibilities

By engaging VirtuForms, you agree to:

Provide Accurate Information:

  • Provide complete, accurate, and truthful information for all service requests
  • Submit genuine, unaltered documents
  • Inform us immediately of any errors or changes to submitted information

Timely Responses:

  • Respond promptly to requests for additional information or documentation
  • Review documents we prepare and provide feedback within reasonable timeframes
  • Delays in your responses may extend service completion timelines

Compliance with Laws:

  • Ensure all information provided complies with Trinidad and Tobago laws
  • Cooperate with identity verification and AML requirements
  • Use our services for lawful purposes only

Payment Obligations:

  • Make timely payments as per agreed terms
  • Notify us of any payment difficulties before they arise

7. VirtuForms Responsibilities and Service Commitment

VirtuForms commits to:

  • Professional Service: Provide services with reasonable skill and care
  • Error Correction: Correct any errors caused by VirtuForms at no additional cost
  • Appeal Support: Work with you to appeal government rejections to the best of our ability
  • Communication: Keep you informed of progress and any issues that arise
  • Confidentiality: Protect your personal information in accordance with our Privacy Policy
  • Compliance: Operate in accordance with Trinidad and Tobago laws and regulations

8. Limitation of Liability

Government Actions:

VirtuForms is not liable for:

  • Government agency delays, rejections, or processing errors
  • Changes in government fees, requirements, or procedures
  • Government office closures or system outages
  • Decisions made by government authorities regarding your applications

Client-Provided Information:

VirtuForms is not liable for:

  • Errors, omissions, or false information provided by you
  • Consequences arising from inaccurate client documentation
  • Delays caused by incomplete client information

Maximum Liability:

To the fullest extent permitted by Trinidad and Tobago law, VirtuForms' total liability for any claim arising from our services shall not exceed the total fees paid by you for the specific service in question.

Errors by VirtuForms:

If an error is caused solely by VirtuForms:

  • We will re-file or correct the error at no additional cost to you
  • We will cover any additional government fees required due to our error
  • Our liability is limited to correction of the error

9. Anti-Money Laundering (AML) and Know Your Customer (KYC)

VirtuForms Ltd operates in full compliance with the Proceeds of Crime Act and the Financial Obligations Regulations, 2010 of Trinidad and Tobago.

Identity Verification:

  • We are required by law to verify the identity of all clients
  • You must provide government-issued identification (National ID, Passport, Driver's Permit)
  • For business services, we may require additional documentation (proof of address, business justification)

Right to Refuse Service:

  • We reserve the right to refuse service if adequate identity verification cannot be obtained
  • We may request additional documentation if we have concerns about the legitimacy of a transaction
  • Refusal of service does not require explanation if based on AML/KYC concerns

Reporting Obligations:

  • We are required to report suspicious transactions to the Financial Intelligence Unit (FIU)
  • We cannot inform you if a report has been made
  • Client data may be disclosed to law enforcement or regulatory authorities where legally required

If this AML/KYC notice does not apply to your interaction with us, kindly disregard.

10. Intellectual Property

All content on the VirtuForms website, including text, graphics, logos, and software, is the property of VirtuForms Ltd and is protected by Trinidad and Tobago intellectual property laws.

Documents we prepare on your behalf become your property upon full payment. However, our templates, processes, and methodologies remain our intellectual property.

11. Confidentiality and Data Protection

VirtuForms is committed to protecting your privacy and personal information. Please refer to our Privacy Policy for detailed information on how we collect, use, store, and protect your data.

Key points:

  • We maintain client records for seven (7) years as required by law
  • Your information is stored securely using encrypted cloud storage
  • We do not sell or share your information except as required by law
  • You have rights under the Data Protection Act, 2011

12. Termination of Services

By Client:

You may terminate our services at any time by providing written notice. However:

  • The 50% deposit is non-refundable if work has commenced
  • You are responsible for payment for all work completed up to termination
  • We will provide a summary of work completed

By VirtuForms:

We may terminate services immediately if:

  • You provide false or fraudulent information
  • You fail to make required payments
  • You fail to cooperate or respond to reasonable requests
  • We have AML/KYC concerns that cannot be resolved
  • Continuing the relationship would violate laws or regulations

13. Dispute Resolution

We are committed to resolving any disputes amicably:

Informal Resolution:

  1. Contact us in writing with details of your concern
  2. We will acknowledge receipt within 5 business days
  3. We will investigate and respond within 14 business days
  4. We will work with you to reach a fair resolution

Formal Dispute:

If informal resolution fails, disputes shall be resolved through:

  • Mediation in Trinidad and Tobago (preferred method)
  • Arbitration under Trinidad and Tobago law
  • Legal proceedings in the courts of Trinidad and Tobago

14. Governing Law and Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of the Republic of Trinidad and Tobago.

Any legal proceedings arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Trinidad and Tobago.

15. Changes to Terms of Service

VirtuForms reserves the right to modify these Terms at any time. Changes will be:

  • Posted on this page with an updated "Last Updated" date
  • Communicated to active clients via email where possible
  • Effective immediately upon posting unless otherwise stated

Your continued use of our services after changes are posted constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable under Trinidad and Tobago law, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and VirtuForms Ltd regarding our services.
